Ok, here is my new rig which i will be ordering soon :D would be grateful for any advice :)

Ok so as not to dissapoint everybody :D

Have a look at the Msi P35 Neo2-Fr it's a little more expensive, but has better features including an Heatpipe chipset cooler.

Personally I'd look for something a bit beefier in the psu. OCZ 600w StealthXStream perhaps?

I would agree, 450 whilst it would possibly run it it could well be running close to its limit.

What OS are you gonna put on it? If it aint 64-bit, no point in getting 4gb ram.
Not sure about the MSI Neo, but the DS3 is a spanking board for your overclocking pleasure. :D

I have 3 rigs based on that board all with E2180's and overclocked to over 3GHz on stock cooler.

At stock speeds there is very little in performance between any P35 board.

It then starts coming down to cost/features.

Some have heatpipe cooling for the chipset others have the ICH9R for better HDD options. Some have firewire and or Digital audio outputs.

Choose a board that has the features you desire.
